I second foobar2000 + LAME.
I always download FLAC for archival purposes and create MP3s (v0) for listening.
foobar2000 of course is also the best music player too so that's 2 birds 1 stone sort of thing.

Personally I use foobar2000, which can convert using tags etc, and build a folder structure for you.
